Terms of Service

These Terms of Service ("Terms") govern your use of insidecobb.com (the "Site"), operated by Idarity Solutions("we", "us", "our"). By accessing or using the Site, or by submitting a business application, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. The Service

InsideCobb is a curated online directory of local businesses operating in Cobb County, Georgia. We review submissions from business owners and, at our discretion, publish approved listings on the Site for public viewing. The Site is informational; we do not broker transactions between visitors and listed businesses, and we are not a party to any transaction between them.

2. Eligibility

You must be at least 18 years old to apply for a listing or use the forms on the Site. By applying for a listing, you represent that you are the owner of the business or are authorized to act on its behalf, and that the information you provide is accurate.

3. Business listings

• Application and review. Submission of an application does not guarantee a listing. We review each application for relevance, accuracy, and fit with the Site's standards, and we may approve, reject, or request edits at our discretion.
• Content you provide. You retain ownership of any logos, photos, descriptions, and other content you submit ("Your Content"). You grant InsideCobb a worldwide, non-exclusive, royalty-free license to display, distribute, format, and adapt Your Content on the Site and in promotional materials for the Site (including social media and email newsletters).
• Accuracy and updates. You are responsible for keeping your listing accurate. If contact information, hours, or services change, contact us to update the listing. We may remove or hide listings that we believe contain materially inaccurate information.
• Removal. You may request removal of your listing at any time by emailing info@insidecobb.com. We may also remove a listing at our discretion if it violates these Terms, becomes inactive, or no longer fits the Site's standards.
• Cost. Standard listings are free. If we offer paid or featured listings in the future, the additional terms for those will be presented before purchase.

4. Acceptable use

You agree not to:

• Submit false, misleading, or fraudulent business information;
• Submit content you do not own or have permission to use;
• Submit content that is unlawful, defamatory, harassing, hateful, or infringes any third-party rights;
• Use the Site to send spam, scrape data, run automated tools at abusive volumes, or attempt to gain unauthorized access;
• Impersonate another business or person;
• Interfere with the operation or security of the Site.

5. Third-party content and links

Listings on the Site describe businesses operated by independent third parties. We do not endorse, verify the quality of, or take responsibility for the goods or services those businesses provide. Your dealings with any business listed on the Site are solely between you and that business. The Site may link to external websites. We are not responsible for the content, accuracy, or practices of those sites.

6. Intellectual property

The Site's name, logo, design, code, and editorial content are owned by us or our licensors and are protected by intellectual-property laws. Except for limited personal, non-commercial use of the Site, no part of the Site may be reproduced, distributed, or commercially exploited without our prior written consent.

7. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. INFORMATION ABOUT LISTED BUSINESSES IS PROVIDED BY THIRD PARTIES AND MAY BE INCOMPLETE OR OUT OF DATE.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL INSIDECOBB, ITS OPERATOR, OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

9. Indemnification

You agree to indemnify and hold harmless InsideCobb, its operator, and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) any content you submit; or (c) your violation of these Terms.

10. Termination

We may suspend or terminate your access to the Site, or remove your listing, at any time and without notice if we believe you have violated these Terms. Sections 3 (license grant), 6, 7, 8, 9, 11, and 12 survive termination.

11. Governing law and disputes

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Site will be brought exclusively in the state or federal courts located in Cobb County, Georgia, and you consent to personal jurisdiction in those courts.

12. Changes to these Terms

We may revise these Terms from time to time. When we do, we will update the "Last updated" date above. If the changes are material we will post a notice on the Site. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
